The company is made up of two members: UNYHEALTH Systems, Inc. (UNYHEALTH Systems is the hospital entity formed as a business corporation in New York State with VHA Inc. / UNYHEALTH members as shareholders) and UNYHEALTH Physicians, LLC (The physician organization is comprised primarily of local MD clusters, is a Professional Limited Liability Corporation (PLLC) composed of IPAs, PCs and LLCs). The combined Board of Managers makes up the LLC Board.

The Board of Managers control and manage the business of the Company, may exercise all powers of the Company and do such lawful acts as directed or required to be exercised or done by the Members. In doing so, the Board of Managers shall have the right and authority to take all actions, which the Managers deem necessary, useful or appropriate for the management and conduct of the business.

This Committee, comprised of voluntary Members of the Board, is charged with evaluating applicants for membership in UNYHEALTH. Based upon the application information submitted, the Committee will make recommendations to the Board of Managers for approval of Members. In addition, this Committee may determine the criteria for membership.

This Committee, comprised of voluntary Members of the Board and Contracts Committee, is charged with evaluating business opportunities and strategic plan for the company. Based upon information reviewed, the Subcommittee will make recommendations to the Board of Managers for approval for action. This Committee may also work closely with the Contracts Committee to evaluate recommendations.

The Contracts Committee is a standing committee responsible for recommending to the Managers criteria and standards for the negotiation of contracts with third-party payors and managed care plans. The Contracts Committee may review and comment on non-financial terms of contracts offered by third-party payors and managed care plans.

The Joint Operating Committee is a unique arrangement formed by UNYHEALTH and GHI to work in a collaborative effort to address issues related to utilization management, patient safety, business issues, and mutual promotion of the GHI / UNYHEALTH relationship This relationship provides an exciting opportunity for UNYHEALTH Members and GHI to combine interests and efforts to improve the total performance of healthcare delivery to our customers in Upstate New York.

This group was formed as a joint initiative between VHA and UNYHEALTH to evaluate the initiative for UNYHEALTH to be the network of choice for hospitals considering implementing self-funded programs. In this role, the group will recommend to the Board of Managers the opportunities related to employee benefits as well as medical benefits.
